Redemption

• The preference shares shall be redeemable after the completion of 12-year term, depending on the date of the issuance of the Preference Shares.
• At its sole discretion, the Company reserves the rights to exercise early redemption of the preference shares, allowing for flexibility in response to strategic and financial considerations.
• Upon the redemption of Preference Shares, the redemption value shall be the face value of each Preference Share plus any accumulated and unpaid dividend.
• The Preference Shares are non-convertible and non-transferable.
• In the event of liquidation of the Company, holders of Preference Shares shall have priority over common shareholders and shall be entitled to receive the redemption value and any accrued but unpaid dividends before any distribution to common shareholders.

Dividend Structure

• Dividends shall be paid annually, and the payment date shall be within 45 working days from receipt of the audited financial account.
• Dividends shall be cumulative, and any unpaid dividends for a particular year shall accrue and be paid in subsequent year. 

Time Sharing Perk

Terms and Condition of Time Sharing

1. Transferability

• The time-sharing perk is transferable and can be utilized by the investor or any person designated by the investor

2. Booking Procedures

• The investor or any designated person must notify the resort management of their intention to utilize the time-sharing perk at least 30 days
• Bookings are subject to availability, and specific blackout dates may apply

3. Travel Expenses 

• This perk covers the cost of accommodation only. Travel expenses, including but not limited to transportation and meals, are the responsibility of the investor

4. Changes and Termination

• The resort management reserves the rights to modify or terminate the time-sharing perk, providing reasonable notice to the investors

5. Notification of Changes 

• Any changes to the time-sharing perk terms and conditions will be communicated to the investor through official channels

6. Property Rules

• The guest agrees to comply with all the rules and regulations of Pangkor Eco Resort during their time-sharing stay

7. Force Majeure

• The resort management is not liable for any disruptions or inconveniences caused by ents beyond its control, such as natural disasters or unforeseen circumstances

8. Misuse of Perk

• The investors understand that failure to adhere to the specified booking procedures or misuse of the time-sharing benefit may result in the forfeiture of the perk

9. Liability

• The resort management is not liable for any injuries, losses or damages sustained by the guest during their time-sharing stay

Fund Utilisation

The fund will be utilised within 24 months from the issue date
