Introduction

Showmekids is an alternative education provider, bringing Finnish culture and teaching methods to Malaysian students. We provide an English-based, stress-free education experience grounded on the Muslim lifestyle and skill-based culture. One of our objectives is to make sure every child has access to a better lifestyle education, no matter where they are, either in urban or rural areas regardless of whether they are typical or special needs children.

As our current education system now solely emphasizes results, it has completely ignored the process that one student has to go through to get good results. In Showmekids, we practice the ‘Showme Education Lifestyle Model (SELiM)’.

Our flagship product is to provide playschool and kindergarten from age 2 to 6 years old. We are also a dual language programme for private primary and secondary schools from age 7 to 17 years old. Other than that, we also provide early intervention programmes for special needs children who have learning disabilities. The platform offers quality education lifestyles that cater for children in Malaysia.

The private and international schools have started following a globally competitive curriculum to provide global exposure to students. Currently, Showmekids has 12 branches of schools located in Terengganu, Kelantan and Kuala Lumpur.

Engku Nur Zakiah Syed Mohamed, age 50, is the Chief Operation Officer & Co-Founder of Showmekids Education Sdn Bhd. She is known as Principal Nur and has been involved in the education industry for almost 24 years. Even though her background is in business, her passion for education is especially strong in early childhood education, as it has made her choose to be in the Child Development Group. To benefit all of the Showme students, Principal Nur has come out with the Showme Education Lifestyle Model (SELiM) that is currently being implemented at every branch of Showme. Through SELiM, we believe students will receive a high-quality and enjoyable learning experience that will contribute to their quality of life during childhood.

Tenure
The RPS shall have a tenure of five (5) years commencing and inclusive of Issue Date. The tenure of the RPS may be extended for a further period subject to mutual agreement and/or consent of the RPS shareholder.

Maturity Date
The maturity date of the RPS shall be the date falling on the Business Day immediately before the fifth (5th) anniversary of the Issue Date.

Redemption
The redemption of RPS by the Issuer on the Maturity Date shall be paid to the Subscriber the redemption money in respect of each subscription of RPS in cash at the Redemption Price.

Early Redemption
The RPS may be redeemed, at the option of the Issuer (not the Subscriber), prior to the Maturity Date, from the date of the third (3rd) anniversary of the Issue Date. The Issuer shall issue a written early redemption notice of three (3) months to the RPS Subscriber.

Dividend
The RPS subscriber is entitled to a pro-rated expected cumulative dividend at the rate of between eight per cent (8%) to fifteen per cent (15%) on an annual basis proportion to the subscription of RPS made by the Subscriber.
